NOTICE OF OBLIGATIONS TO BE ISSUED NOTICE IS HEREBY GIVEN pursuant to the provisions of Section 11-14-316, Utah Code Annotated 1953, as amended, that on October 26, 2012, the Board of Trustees (the "Board ") of the Weber Basin Water Conservancy District (the "District ") adopted a resolution (the "Supplemental Resolution ") providing for the issuance of (1) one or more series of the District 's Water Revenue Bond Anticipation Notes (the "Notes ") in an aggregate principal amount of not to exceed $40,000,000 and to mature not more than 5 years from their date of issuance; and (2) one or more series of the District 's Water Revenue Bonds (the "Bonds " and together with the Notes, the "Obligations ") at a future date, in an aggregate principal amount of not to exceed $40,000,000 and to mature not more than 31 years from their date of issuance. The Obligations shall bear interest at a rate or rates not to exceed 6.0% per annum and shall be sold at a discount from par, expressed as a percentage of principal amount, of not to exceed 3.0%. The Obligations are to be issued and sold by the District pursuant to (1) a Master Resolution Providing for the Issuance of Water Conservancy Revenue Bonds, adopted July 22, 1999, as amended and supplemented (the "Master Resolution "), (2) the Supplemental Resolution and (3) a supplemental resolution supplementing the Master Resolution, to be adopted at a future date (the "Bond Supplemental Resolution "). The Master Resolution, the Supplemental Resolution and the Bond Supplemental Resolution are collectively referred to as the "Resolution ". A copy of the Master Resolution and the substantially final form of the Bond Supplemental Resolution were attached to the Supplemental Resolution at the time of the adoption thereof. The Bond Supplemental Resolution will be adopted by the Board at a future date prior to the issuance of the Bonds in substantially the form attached to the Supplemental Resolution, with such changes thereto as shall be approved by the Board upon the adoption thereof, provided that the principal amount, interest rate or rates, maturity or maturities and discount will not exceed the maximums set forth above. The final terms and provisions of the Obligations shall be determined by a designated officer of the District and set forth in Certificates of Determination executed by such officer, provided that the principal amount, interest rate or rates, maturity or maturities and discount will not exceed the maximums set forth above. The District intends to issue the Notes in anticipation of the issuance of Bonds sufficient to provide for the payment of the Notes at maturity or upon prior redemption, and to issue the Bonds to retire the Notes. The Obligations may be issued for the purpose of (i) financing or refinancing certain costs of the acquisition and construction of various improvements to the System, including the acquisition, construction, renovation and completion of water treatment plants, wells, pipelines, canals, storage facilities, water rights, and related facilities and appurtenances (the "Project "), including retiring the Notes, (ii) paying capitalized interest on the Notes or Bonds, as applicable, (iii) satisfying any debt service reserve requirements, and (iv) paying costs and expenses incident thereto and to the authorization and issuance of the Obligations, all as set forth in the Resolution and a Certificate of Determination for the Notes and a Certificate of Determination for the Bonds. The Obligations shall be payable from and secured by the revenues of District 's water system and certain other funds, as more particularly described in the Resolution. A copy of the Resolution is on file in the office of the Secretary/Treasurer of the District, located at 2837 East Highway 193, Layton, Utah, where it may be examined during regular business hours of the Secretary/Treasurer from 8:00 a.m. to 4:30 p.m. The Resolution shall be so available for inspection for a period of at least 30 days from and after the date of the publication of this notice. NOTICE IS FURTHER GIVEN that, pursuant to law, for a period of 30 days from and after the date of the publication of this notice, any person in interest shall have the right to contest the legality of the above-described Resolution of the Board, or the Obligations or any provisions made for the security and payment of the Obligations, and that after such time, no one shall have any cause of action to contest the regularity, formality or legality thereof for any cause.
